Formation

The Fund was constituted by a Trust Deed executed on 23 rd April, 2003 between ICB Capital Management Ltd. and Investment Corporation of Bangladesh under the Trust Act 1882 and Registration Act, 1908. The fund is registered under the Securities and Exchange Commission (Mutual Fund) Rules, 2001. The Fund is a closed end mutual fund of 10 years tenure. However, the tenure may be extended with three forth majority vote of the unit holders. The size of the fund is fixed at Tk. 100 million divided into 10,00,000 units of Tk. 100.00 each. The market lot is 50 (fifty) units. The fund is listed with the Dhaka Stock Exchange Ltd and Chittagong Stock Exchange Ltd.

Sponsor

ICB Capital Management Ltd, a subsidiary of ICB is the sponsor of the Fund which was incorporated on 5 th December, 2000 under the Companies Act, 1994 with an authorised capital of Tk. 1.00 billion and a paid up capital of Tk. 50.00 million. The Company obtained license from Securities and Exchange Commission on 16 th October, 2001 to carry out the merchant banking activities. The Company is being managed by high calibered professional people mostly taken from ICB. The company subscribed units worth Tk. 10.00 million out of which 10% i.e. Tk. 1.00 million is in the custody of the Trustee. These units are subject to lock in for the life of the Fund.

Trustee & Custodian

Investment Corporation of Bangladesh (ICB) is the trustee and custodian of the fund. ICB was established on 1st October, 1976 under the Investment Corporation Bangladesh Ordinance 1976 (XL of 1976) with a view to encouraging and broadening the base of investment, develop the capital market, mobilize savings, promote & establish subsidiaries for business development & provide for matters ancillary thereto. ICB is the harbinger of mutual funds in the country. It was the single largest stock broker & dealer in the stock exchange. ICB acted as an underwriter/manager to the issue to more than 370 companies of which 101 companies are publicly traded companies. ICB has acted as trustee to the debenture issues of over 15 companies amounting to Tk. 1.42 billion. ICB has been playing a unique role in the development of capital market of Bangladesh.
